By accessing or using SwiftNova Technologies’ services (“we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to be bound by these Terms. Your continued use of our services constitutes acceptance of updates or modifications to these Terms.

SwiftNova Technologies provides professional digital solutions, including but not limited to:
Web Design & Development (custom websites, redesigns, optimizations)
Mobile Application Development (iOS & Android)
Custom Software Solutions (tailored applications for businesses)
ICT Consultancy

SEO & Digital Marketing
Ongoing Website Maintenance and Support
All services are subject to availability and may be customized according to client requirements and mutual agreement.
3. Service Agreement and Scope
Project Proposal
Before starting, we provide a detailed proposal including:

Project timeline and milestones
Pricing and payment terms
Client responsibilities
Client Acceptance
Work begins after you accept the proposal in writing (email or signed contract).
Scope Changes
Any changes requested after project commencement:
May incur additional fees
Could adjust timelines
Require our approval
A revised quote will be provided before proceeding with additional work.
4. Client Responsibilities
To ensure smooth project delivery, you agree to:
Provide accurate and timely content, feedback, and materials
Respond to our requests promptly
Provide access credentials for hosting, domains, and third-party services
Confirm legal rights to content provided
Make timely decisions on design and project direction
Review and test deliverables promptly
Make payments as agreed
Failure to meet these responsibilities may cause delays, extra costs, or project termination.
5. Payment Terms
Pricing
All prices are in Uganda shillings unless specified. Changes in scope may affect pricing.
Payment Structure
Deposit: 50% upfront
Milestone Payments: For large projects, as per agreed milestones
Final Payment: Upon project completion
Payment Methods
We accept bank transfer, mobile money, and other agreed methods.
Late Payments
Invoices due within 7–14 days. Late payments may result in:
Project suspension
5% monthly late fee
Withholding of project files
Termination for payments overdue 30+ days
Refund Policy
Deposits and completed work payments are non-refundable unless mutually agreed or if we fail to deliver the agreed services.
6. Intellectual Property Rights
Client Materials
You retain ownership of all materials you provide. By providing them, you grant SwiftNova a license solely to deliver your project.
Final Deliverables
Ownership of final deliverables transfers to you upon full payment, including:
Custom design files
Website or application code
Project-specific content
Our Intellectual Property
We retain ownership of:
Development processes, methodologies, workflows
Pre-existing code, frameworks, tools
Templates, plugins, and third-party resources
Our brand and proprietary materials
Third-Party Resources
Third-party tools (plugins, themes, stock images) are subject to their licenses. Clients must comply with these licenses.
Portfolio Rights
Unless confidentiality is requested, we may showcase your project in our portfolio or marketing materials.
7. Timelines and Delivery
Project timelines are estimates and depend on:
Timely receipt of client materials
Scope changes
Technical issues or third-party dependencies
Delays
SwiftNova is not responsible for delays due to:
Client inaction
Scope changes
Force majeure events
Delivery
Projects are delivered when all agreed-upon deliverables are provided, reviewed, and approved.
8. Revisions and Modifications
Each project includes 2–3 revision rounds (as per proposal).
Revisions beyond the agreed scope incur additional charges.
Approval of deliverables constitutes project sign-off.
9. Website Hosting and Maintenance
Hosting and domain registration are client responsibilities.
We can recommend hosting providers.
Maintenance services require a separate agreement.
Clients are responsible for updates unless covered under a maintenance agreement.
10. Warranties and Disclaimers

Original work does not infringe third-party IP rights
Disclaimer
Services are provided “as-is.” We do not guarantee:
Specific results (SEO rankings, sales conversions)
Compatibility with all devices or browsers
Uninterrupted service
We are not responsible for third-party services, including hosting, payment processors, or social media platforms.
11. Limitation of Liability
SwiftNova is not liable for indirect, incidental, or consequential damages, including lost data or business interruption. Maximum liability is limited to the fees paid for the services.
